Our Terms of Service

Effective Date: March 01, 2025

Acceptance of Terms: By engaging VINS Digital (“Company”, “we”, “us”, “our”) for digital marketing services including but not limited to website development and pay-per-click (PPC) advertising (“Services”), the client (“you”, “your”) agrees to be bound by these Terms of Service (“Terms”).

Services: VINS Digital offers website development, PPC ad management, and related digital marketing services. The scope, deliverables, and timeline of each project will be defined in consultation with both parties.

3. Payment and Fees

3.1 Payment Schedule: Fees for services will be detailed in the estimate given. Payments must be made according to the agreed schedule.

3.2 Late Payments: Invoices not paid within 30 days of the due date will incur a late fee of 2% per month.

4. Refund Policy

4.1 Website Development: Services already rendered cannot be refunded. If a website has not been migrated to your hosting and made live, a partial refund may be considered at our discretion depending on the work completed.

4.2 PPC Advertising: Results are not guaranteed, and fees paid for PPC management and ad spend are non-refundable.

4.3 Cancellation: For monthly subscription services, cancellations must be requested in writing at least two (2) weeks before the end of the current billing cycle.

5. Client Responsibilities

5.1 Content and Copyright: You are responsible for providing content (text, images, videos, etc.) and ensuring you own the rights or have proper licenses. VINS Digital is not liable for any copyright infringements. 

5.2 Approvals: You must review and approve deliverables within 7 days of submission. Delays in approvals may impact project timelines.

6. Dispute Resolution: Any disputes arising out of or relating to these Terms must first be brought to VINS Digital’s attention in writing or via email. Both parties agree to work in good faith to resolve the issue amicably.

7. Limitation of Liability: Under no circumstances shall VINS Digital be liable for indirect, incidental, or consequential damages. Our total liability under any agreement shall not exceed the fees paid for the specific service giving rise to the claim. Indemnification: You agree to indemnify and hold VINS Digital harmless from any claims, damages, or legal costs arising from your use of our services, including but not limited to copyright infringement claims. No Legal Action: By engaging our services, you agree not to initiate legal action against VINS Digital. Any disputes shall be resolved through negotiation and mediation. Governing Law: These Terms are governed by the laws of the Province of Ontario, Canada. Any legal proceedings shall take place in Toronto, Ontario. Amendments: We reserve the right to amend these Terms at any time. Clients will be notified of changes, and continued use of our services constitutes acceptance of the revised Terms.

Entire Agreement These Terms, along with any signed service agreements, constitute the entire agreement between the parties and supersede any prior discussions or understandings.
